Business templates only — review with a qualified attorney and tax professional before use. Worker classification depends on the real working relationship, not simply the title written on a contract.

Sales Employee Compensation Agreement

For a position that is actually structured and administered as employment. The written plan should define role, territory, wages/salary where applicable, commission or incentive rules, when incentive compensation is earned, adjustments, expenses, policies, customer records, confidentiality and termination treatment.

Independent Sales Representative Agreement

For a genuinely independent business relationship. It should separately address scope, independence, approved services, pricing authority, compensation, invoicing, expenses, customer information, brand use, taxes, insurance where applicable, termination and post-termination commissions.

Exhibit A — Compensation Plan

A separate versioned exhibit should list the representative, effective date, territory, eligible services, rates, commission basis, bonus/override rules, payout trigger and adjustment rules. Changing rates creates a new exhibit instead of silently rewriting history.

Benefits + Tools Overview

Describe only what is actually provided: sales portal, approved marketing materials, pricing tools, training, portfolio access and team support. Do not advertise health insurance, retirement, paid leave, guaranteed salary or reimbursements unless those benefits are truly offered.
